Terms of Service

Please read these Terms of Service carefully before using the Matterax service.
1. Interpretation and Definitions
1.1 Interpretation
Capitalised words have the meanings set out below. Definitions apply equally in singular and plural form.
1.2 Definitions
For the purposes of these Terms of Service:
- Account means a unique account created for you to access our Service or parts of it.
- Affiliate means an entity that controls, is controlled by, or is under common control with Archling Sdn Bhd, where "control" means ownership of 50% or more of the shares, equity interest, or voting securities.
- Application means the Matterax software application accessible via web or mobile.
- Company (referred to as "Matterax", "Matterax.com", "we", "us", or "our") refers to Archling Sdn Bhd, 7-2 Plaza Danau 2, Jalan 2/109F, Taman Danau Desa, 58100 Kuala Lumpur, W.P. Kuala Lumpur, Malaysia. Company registration number: 202301009377 (1503298-W).
- Content means any text, images, product information, brand profiles, project photos, specifications, or other material posted, uploaded, or otherwise made available on the Service by you.
- Country refers to Malaysia.
- Designer means a user of the Service who uses Matterax to discover, save, or specify materials — including architects, interior designers, and other design professionals.
- Device means any device that can access the Service, including computers, phones, and tablets.
- Feedback means any feedback, ideas, or suggestions you provide to us about the Service.
- Service refers to the Matterax website, application, and related services, accessible at matterax.com.
- Subscription means the paid plan a Supplier signs up for to list Content on the Service, as set out in the supplier pricing page or the supplier agreement.
- Supplier means a user of the Service who maintains a paid Subscription to list and promote materials, products, or services on Matterax — including building material brands, distributors, manufacturers, and artisan suppliers.
- Terms of Service (or "Terms") means these Terms of Service, which form the agreement between you and Archling Sdn Bhd regarding the use of the Service.
- Third-party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available through the Service.
- Website refers to Matterax, accessible at matterax.com.
- You means the individual using the Service, or the company or other legal entity on whose behalf the individual is using the Service.

3. Acknowledgment
These Terms of Service govern your use of the Service and form the agreement between you and Archling Sdn Bhd. They set out the rights and obligations of all users.
Your access to and use of the Service is conditional on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, Designers, and Suppliers who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
You represent that you are at least 18 years old. We do not permit anyone under 18 to use the Service.
Your access to and use of the Service is also conditional on your acceptance of our Privacy Policy, which describes how we collect, use, and disclose your personal data. Please read the Privacy Policy carefully before using the Service.
4. Governing Law
These Terms and your use of the Service are governed by the laws of Malaysia, excluding its conflict of law rules. Your use of the Service may also be subject to other local, state, national, or international laws.
4.1 Jurisdiction
Any dispute arising out of or in connection with these Terms shall be referred to the exclusive jurisdiction of the courts of Malaysia.
4.2 Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law. The remaining provisions will continue in full force and effect.
4.3 Waiver
Failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise that right or require performance at any time afterwards. The waiver of a breach does not constitute a waiver of any subsequent breach.
5. User Accounts
5.1 Account Creation
When you create an account with us, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
You may not use as a username the name of another person or entity, a name or trademark you do not have rights to, or a name that is offensive, vulgar, or obscene.
5.2 Account Information
You may be asked to supply information including your name, email, phone number, company, role, and address.
For Suppliers, you may also be asked to provide bank account or payment details, business registration documents, brand authorisation documents (where you list a brand you do not own), and any information necessary to verify your eligibility to subscribe.
5.3 Account Verification and Curation
Matterax is a curated platform. We review every Supplier application and reserve the right to accept, decline, or remove any Supplier at our sole discretion based on factors including but not limited to product quality, brand legitimacy, market relevance, and alignment with the platform's editorial standards.
We do not perform background checks on Designers or endorse any user. We do not accept responsibility for the reliability, accuracy, or completeness of information provided by users on the Service.
5.4 Account Password
You are responsible for safeguarding your password and for any activity under your account. You agree not to disclose your password to any third party. You must notify us immediately of any breach of security or unauthorised use of your account.
For Supplier accounts shared within an organisation, you are solely responsible for managing internal access. We do not enforce or audit login sharing within a Supplier's team.
5.5 Account Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason — including a breach of these Terms. Upon termination, your right to use the Service ceases immediately.
If you wish to terminate your account, you may discontinue using the Service or contact us at support@matterax.com. For Supplier accounts, see Section 7 for subscription cancellation terms.
6. Content
6.1 Your Right to Post Content
The Service allows Designers to save and curate Content, and allows Suppliers to post Content (including product information, brand profiles, images, and specifications). You are responsible for the Content you post — including its legality, accuracy, and appropriateness.
By posting Content to the Service, you grant Matterax a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, display, and distribute that Content on and through the Service for the purpose of operating, marketing, and improving the Service. You retain ownership of your Content. This licence ends when your Content is removed from the Service, except where:
- The Content has been shared with other users who have saved or referenced it (in which case the licence continues for those references), or
- We are required to retain it for legal, regulatory, or backup purposes.
6.2 Supplier Content Warranties
If you are a Supplier, you represent and warrant that:
- You own the Content you post, or you have all necessary rights, licences, consents, and permissions to post it.
- Where you list a brand you do not own (for example, as an authorised distributor), you have the documented authority of the brand owner to do so on the Service.
- The Content is accurate and not misleading, including all product specifications, certifications, origin claims, sustainability claims, and pricing information you provide.
- The Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party.
You are solely responsible for any claims arising from inaccurate, misleading, or unauthorised Content you post.
6.3 Content Restrictions
You may not post Content that is unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable. Examples include:
- Content that is unlawful or promotes unlawful activity.
- Defamatory or discriminatory content, including content targeting religion, race, sexual orientation, gender, ethnicity, or national origin.
- Spam, automated content, unauthorised advertising, chain messages, or solicitations unrelated to the Service.
- Viruses, malware, or any code designed to disrupt, damage, or gain unauthorised access to systems or data.
- Content that infringes any party's intellectual property, including patent, trademark, copyright, or right of publicity.
- Content that impersonates any person or entity, including Matterax, its employees, or representatives.
- Content that violates the privacy of any third party.
- False or fabricated product information, including counterfeit goods, unauthorised use of brand trademarks, or misrepresented certifications.
We reserve the right (but not the obligation) to determine in our sole discretion whether any Content is appropriate and complies with these Terms. We may refuse, remove, edit, or reformat Content, or suspend or terminate accounts that post objectionable Content. We cannot monitor all Content; you use the Service at your own risk and may be exposed to Content you find objectionable.
6.4 Curation Standards for Suppliers
In addition to the general Content restrictions above, Supplier Content is subject to Matterax's curation standards, which may be updated from time to time. These cover image quality, completeness of product information, brand verification, and category relevance. We may decline, edit, or remove Content that does not meet these standards. Continued failure to meet curation standards may result in suspension or downgrade of your Subscription.
6.5 Intellectual Property and Infringement Claims
We respect the intellectual property rights of others and expect users to do the same. If you believe that Content on the Service infringes your copyright, trademark, or other intellectual property rights, please contact us at legal@matterax.com with the following information:
- Your contact details, including name, address, telephone number, and email.
- Identification of the right you claim has been infringed (for example, a copyrighted work or registered trademark).
- The URL or specific location on the Service where the allegedly infringing Content appears.
- A statement that you believe in good faith that the use is not authorised by the rights holder, its agent, or the law.
- A statement, made under penalty of perjury, that the information you provide is accurate and that you are the rights holder or authorised to act on the rights holder's behalf.
- Your physical or electronic signature.
Upon receipt, we will review the notice and take whatever action we deem appropriate in our sole discretion, which may include removing the disputed Content, notifying the user who posted it, or suspending the relevant account.
6.6 Content Backups
We perform regular backups of Content but do not guarantee against loss or corruption of data. We have no liability for the integrity of Content or for failure to restore Content to a usable state. You agree to maintain your own independent copy of any Content you post.
7. Supplier Subscriptions
This Section 7 applies only to Suppliers who maintain a paid Subscription on the Service.
7.1 Subscription Plans
Suppliers subscribe to one of several published plans. Each plan defines the number of products that may be listed, the categories available, the type of profile, the search placement, and the level of support included. Current plans and pricing are published at matterax.com/suppliers (or as set out in your individual supplier agreement, where applicable).
Some Subscriptions — including Anchor-tier and certain custom multi-brand arrangements — are governed by a separate written agreement that takes precedence over these Terms in the event of conflict, but only to the extent of that conflict.
7.2 Founding Rates
We may offer founding rates to early Suppliers. Founding rate terms — including the trigger conditions, notice period, and any safety valve provisions — are set out at the time of signup and form part of your Subscription. We will give you notice in accordance with those terms before any rate change takes effect.
7.3 Billing and Payment
Subscription fees are billed monthly or annually as agreed at signup. Payment is processed through our payment provider (currently Stripe). You authorise us to charge the payment method on file for recurring Subscription fees on the date due.
If a payment fails, we will notify you and provide a reasonable opportunity to resolve the failure. If the failure is not resolved within seven (7) days, we may suspend your account. Continued non-payment may result in account termination and removal of your Content from the Service.
All fees are exclusive of applicable taxes (including SST), which will be added where required by Malaysian law.
7.4 Price Changes
We may revise Subscription fees from time to time. We will give Suppliers at least thirty (30) days' written notice of any fee increase. Your continued use of the Service after the effective date of the change constitutes acceptance of the new fees. If you do not agree, you may cancel your Subscription before the change takes effect.
7.5 Cancellation and Refunds
You may cancel your Subscription at any time by contacting us at support@matterax.com or through your account dashboard, where available.
- Monthly Subscriptions: cancellation takes effect at the end of the current billing month. Fees already paid for the current month are not refundable.
- Annual Subscriptions: cancellation takes effect at the end of the current annual term. Fees already paid for the current term are not refundable, except where required by Malaysian law.
We may cancel or suspend your Subscription with notice for material breach of these Terms, including breaches of Sections 6.2 (Supplier Content Warranties), 6.3 (Content Restrictions), or 6.4 (Curation Standards), or for non-payment. In the event of cancellation by us for material breach, no refund is payable.
7.6 Effect of Cancellation
Upon cancellation or termination of your Subscription:
- Your Content will be removed from the Service within a reasonable period.
- Designers who have previously saved your Content may retain those saved references for their own use, in line with the licence in Section 6.1.
- We may retain transactional records (invoices, payment history) for the period required by Malaysian tax and accounting law.
7.7 No Guarantee of Outcomes
Matterax does not guarantee any specific business outcome from your Subscription, including the number of designers who view your Content, the number of saves or moodboard appearances your products receive, the number of specification or procurement opportunities generated, or any sales, leads, or revenue. We provide a discovery platform; the commercial outcome depends on your Content, your offering, and the actions of independent Designers.
8. Designer Use of the Service
8.1 Free Access
The Service is currently free to use for Designers. We reserve the right to introduce paid features or premium tiers for Designers in future, with reasonable notice.
8.2 Permitted Use
As a Designer, you may use the Service to discover materials, save Content for personal or professional reference, create moodboards, and contact Suppliers through any contact mechanism we provide. You may use Content from the Service in your design work and project specifications, subject to the Supplier's terms of supply (which are not part of these Terms).
8.3 Prohibited Use
You may not:
- Scrape, harvest, or systematically extract Content from the Service except through any official export or API features we provide.
- Use Content from the Service to build a competing product database or material discovery service.
- Resell, redistribute, or republish Content in a way that bypasses Suppliers' direct relationships with Designers.
- Use the Service to harass, defraud, or mislead any Supplier or other user.
8.4 No Direct Transaction Layer in Phase 1
Matterax is currently a discovery and specification platform. We do not facilitate direct purchase transactions between Designers and Suppliers in Phase 1. Any transaction, quotation, sample request, or commercial agreement that arises from a discovery on the Service is between the Designer (or their client) and the Supplier directly. Matterax is not a party to any such agreement and accepts no liability for it.
We may introduce a procurement layer in future. When and if we do, separate terms will apply to that functionality, and we will give notice before those terms take effect.
9. Disclaimer of Warranties and Limitation of Liability
9.1 Limitation of Liability
To the maximum extent permitted by Malaysian law, the entire liability of Archling Sdn Bhd and its suppliers under any provision of these Terms — and your exclusive remedy — shall be limited to the amount you have paid us through the Service in the twelve (12) months preceding the event giving rise to the claim, or RM 500 (or local currency equivalent) if you have not paid us anything.
To the maximum extent permitted by applicable law, in no event shall Archling Sdn Bhd or its suppliers be liable for any special, incidental, indirect, or consequential damages — including loss of profits, loss of data, business interruption, personal injury, or loss of privacy — arising out of or related to the use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
9.2 "As Is" and "As Available" Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE", with all faults and defects, without warranty of any kind. To the maximum extent permitted by law, Matterax expressly disclaims all warranties — express, implied, statutory, or otherwise — including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties arising from the course of dealing or usage of trade.
We make no warranty that:
- The Service will meet your requirements or achieve any intended results.
- The Service will be compatible with any other software, applications, or systems.
- The Service will operate without interruption, meet performance or reliability standards, or be error-free.
- Any errors or defects can or will be corrected.
- The Service is free of viruses, malware, or other harmful components.
9.3 Third-Party Content and Links
The Service may contain Content from Suppliers and links to third-party websites or services not owned or controlled by us. We make no representation or warranty about the accuracy, completeness, or reliability of any Supplier Content or third-party content, and we are not responsible for any loss arising from your reliance on it. We strongly encourage you to verify product specifications, certifications, pricing, and availability directly with the Supplier before specifying or purchasing any material.
We have no control over and assume no responsibility for the privacy policies, terms, or practices of any third-party websites or services.
9.4 Translation
If we make these Terms available to you in a translated language, you agree that the original English text shall prevail in the case of any dispute or inconsistency.
10. Dispute Resolution
If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting us at legal@matterax.com. We will respond within fourteen (14) days of receiving your notice and work in good faith to resolve the matter.
If the dispute cannot be resolved informally within thirty (30) days, the parties may refer the dispute to the Malaysian courts in accordance with Section 4.
11. Intellectual Property of the Service
The Service and its original content (excluding Content provided by users), features, and functionality are and remain the exclusive property of Archling Sdn Bhd and its licensors.
The Service is protected by copyright, trademark, and other intellectual property laws of Malaysia and other countries. The "Matterax" name, logo, and any associated branding are trademarks of Archling Sdn Bhd. You may not use them without our prior written consent.
12. Your Feedback
Any Feedback you provide about the Service is given freely. You assign all rights, title, and interest in any Feedback to Archling Sdn Bhd. If for any reason that assignment is ineffective, you grant Archling Sdn Bhd a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, disclose, modify, and exploit your Feedback without restriction.
We are not obliged to act on any Feedback, and providing Feedback does not entitle you to any compensation or recognition.
13. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will give at least thirty (30) days' notice before the new terms take effect. What constitutes a material change is determined at our sole discretion.
By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, in whole or in part, you should stop using the Service.
14. Entire Agreement
These Terms, together with the Privacy Policy and any supplier agreement or order form referenced in your Subscription, constitute the entire agreement between you and Archling Sdn Bhd regarding your use of the Service. They supersede any prior agreements, communications, or understandings, whether written or oral.
